End User License Agreement (EULA) & Terms of Service

Effective Date: November 7, 2026  |  Governing Entity: Cenote Softworks

1. Data Custody, Sovereignty & Delivery Architectures

Cenote Softworks develops applications built on a craftsman's respect for user privacy and data sovereignty. Depending on the specific application installed, data custody is governed as follows:

• On-Device Local Applications (e.g., CareSync Companion): Content, audio transcripts, and private notes are stored exclusively on your device hardware in encrypted application sandboxes. Because Cenote Softworks maintains zero cloud copies of this data, you bear sole responsibility for exports and local backups. Wiping app cache or uninstalling the app permanently purges local records.
• Cloud-Synchronized Applications (e.g., MiseEnPlace): Content, recipes, and preferences are synchronized using industry-standard secure cloud infrastructure (Firebase Authentication and Google Cloud Firestore) to allow multi-device continuity. Your data is encrypted in transit and at rest, and is never accessed or monetized by Cenote Softworks. You may delete your content or request cloud account erasure at any time.
• Absolute User Sovereignty: In all applications, you retain 100% legal custody and ownership of your content. Cenote Softworks claims no intellectual property rights over user-created or imported files.

2. License Grant & Restrictions

Subject to your continuous compliance with this Agreement, Cenote Softworks grants you a revocable, non-exclusive, non-transferable, limited personal license to install and execute the software on authorized devices solely for your direct personal or legitimate professional operational purposes.

You strictly agree that you shall not:

• Reverse-engineer, decompile, disassemble, or attempt to extract source code, proprietary algorithms, or architecture from the software;
• Modify, adapt, translate, or generate derivative works based upon the software or its workflows;
• Rent, lease, lend, sell, redistribute, commercialize, or sublicense the application binary;
• Remove, obscure, or alter any copyright notices, trademark indicators, or proprietary badges embedded within the software.

3. Professional Liability & Field-Grade Auxiliary Aid Disclaimers

Certain software applications developed by Cenote Softworks are designed to assist with technical, culinary, caregiving, or field-scoping documentation. You explicitly acknowledge and covenant to the following operational boundaries:

A. Technical, Surveying & Building Envelope Utilities

• Auxiliary Field Aid Only: The software is engineered strictly as an auxiliary documentation tool. It is not an automated certification platform and does not replace the professional skill, judgment, and oversight of a licensed architect, professional engineer (PE), or certified contractor.
• Mandatory Independent Verification: Any measurements, room dimensions, material takeoffs, energy compliance scoping (e.g., IECC / COMcheck references), or field redlines captured through the software must be independently inspected, verified, and certified by a qualified professional prior to official jurisdictional plan check review, permit filing, or construction submittal.
• Construction Defect & Variance Immunity: Cenote Softworks disclaims all legal liability for construction defects, jurisdictional plan rejections, structural variances, financial losses, or scheduling delays resulting from inaccuracies, miscalculations, or data capture errors.

B. Caregiving & Health Journal Utilities (e.g., CareSync Companion)

• Administrative & Personal Notes Aid: The software is designed for personal note-taking, transcript organization, and caregiver coordination. It is not a medical device, diagnostic instrument, clinical decision support system, or emergency medical dispatch service.
• No Substitute for Clinical Care: Software summaries must never be relied upon as a substitute for professional clinical judgment, physician diagnoses, or certified medical charting.

C. Culinary & Measurement Utilities (e.g., MiseEnPlace)

• Informational Culinary Aid: Recipe parsing, unit conversions, and scaling calculations are provided for convenience. Users remain solely responsible for verifying food safety, allergens, and measurement precision.

4. Absolute Privacy & Anti-Surveillance Covenant

In accordance with our Studio Brand Charter:

• Our software contains zero third-party advertising SDKs, behavioral tracking frameworks, or covert telemetry hooks.
• We do not sell, rent, trade, or monetize your personal content or usage habits.
• When an application operates offline, zero data is transmitted over the wire. When an application provides cloud synchronization, data is transmitted over encrypted channels (TLS 1.3) solely to fulfill your user-requested sync.
• Hardware permissions (Camera for OCR, Microphone for voice transcription, Storage for exports) are invoked strictly for immediate, observable foreground actions and never for background collection.

Cenote Softworks reserves the right to amend this Agreement as software evolves. In the event an application architecture is upgraded to offer optional cloud synchronization, remote backups, or external API integrations, we are contractually bound under our Studio Charter to:

• Publish an amended EULA and Privacy Policy detailing all remote transit and hosting vendors;
• Require your affirmative, non-prechecked opt-in consent prior to transmitting any data across the wire;
• Preserve a local-only, offline operational mode wherever technically viable.

8. Severability & Entire Agreement

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect. This Agreement, together with our Privacy Policy, constitutes the complete and exclusive agreement between the parties regarding the software.

9. Governing Law & Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of your business registration / jurisdiction, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts having competent jurisdiction therein.
